Acceptance of Terms

These Terms and Conditions ("Terms") govern your engagement with TanmiaSol, a licensed IT service provider based in Kuwait. By accessing our website, signing a service agreement, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, please refrain from using our services. TanmiaSol reserves the right to update these Terms at any time, with changes effective upon posting to our website.

Services Provided

TanmiaSol provides a comprehensive range of IT and digital solutions, including but not limited to:

  • Web & Mobile Development: Custom website design, web application development, and native/hybrid mobile apps for iOS and Android.
  • Enterprise IT Solutions: Software integration, IT consulting, managed IT services, cloud infrastructure, and enterprise application development.
  • Digital Marketing: SEO, social media management, SMS campaigns, targeted advertising, analytics, and smart link solutions.
  • WhatsApp Business API Integration: Official WhatsApp Business Platform (API) setup, CRM connectivity, and automated messaging workflows.
  • AI Agents & Automation: Design and deployment of intelligent AI-powered chatbots, automated business workflows, and custom AI agent solutions.
  • Support & Maintenance: Ongoing technical support, performance monitoring, bug fixes, and system maintenance for delivered projects.

The specific scope of services for each client is defined in a separate Service Agreement or Statement of Work (SOW).

Client Obligations

To enable TanmiaSol to deliver services effectively, clients agree to:

  • Provide accurate, complete, and timely information required for project execution, including access credentials, brand assets, and business requirements.
  • Appoint an authorised representative to liaise with TanmiaSol and provide approvals within agreed timelines.
  • Ensure that all content, data, or materials provided to TanmiaSol do not infringe upon any third-party intellectual property, privacy, or legal rights.
  • Use all delivered services and solutions solely for lawful purposes and in compliance with applicable local and international regulations.
  • Honour payment terms as outlined in the agreed service contract or invoice schedule.

WhatsApp API & AI Agent Services

TanmiaSol's WhatsApp Business API and AI automation services are subject to additional conditions due to the nature of these technologies:

  • WhatsApp API services are delivered in accordance with Meta's (WhatsApp's) official Business Policy. Clients are responsible for obtaining and maintaining their own WhatsApp Business Account approval where applicable.
  • Clients must not use WhatsApp API integrations to send spam, unsolicited bulk messages, misleading content, or any communications that violate Meta's Messaging Policy.
  • AI agents and automated workflows built by TanmiaSol are tools to support your business operations. TanmiaSol does not guarantee specific outcomes or results from AI-driven processes and is not liable for decisions made by automated systems operating on client data.
  • Clients are solely responsible for ensuring AI-generated content or automated responses comply with applicable laws, industry regulations, and consumer protection standards in their jurisdiction.
  • TanmiaSol reserves the right to suspend WhatsApp or AI services immediately if their use is found to violate platform policies, legal requirements, or these Terms.

Intellectual Property

Upon full receipt of all agreed payments, TanmiaSol transfers ownership of all custom-developed deliverables (websites, mobile apps, software, and bespoke code) to the client, unless otherwise stipulated in the service agreement.

  • TanmiaSol retains ownership of all proprietary frameworks, tools, internal libraries, and methodologies used during delivery. These are licensed—not sold—to clients for use within the delivered solution.
  • Third-party software, plugins, APIs, or platforms incorporated into deliverables remain subject to their respective owners' licensing terms.
  • TanmiaSol may showcase completed projects in its portfolio, case studies, and marketing materials unless the client explicitly requests confidentiality in writing.
  • Clients warrant that all content, logos, trademarks, and media provided to TanmiaSol are owned by or properly licensed to them.

Payment & Billing

All payment terms are defined in the service agreement or formal quotation provided to the client. General billing conditions include:

  • Project-based engagements typically require an upfront deposit (percentage as agreed) before work commences, with remaining payments tied to project milestones.
  • Retainer or subscription-based services (e.g., maintenance, digital marketing, AI agent hosting) are billed monthly or as per the agreed cycle.
  • Invoices are due within the payment period stated on the invoice. Late payments may incur service suspension and applicable late fees.
  • All prices are exclusive of applicable taxes unless stated otherwise. Clients are responsible for any applicable VAT or government levies.
  • Scope changes requested after project commencement may result in revised pricing and timelines, subject to a formal change request.

Confidentiality

Both parties agree to treat all non-public information shared during the course of the engagement as strictly confidential. This includes business strategies, technical specifications, data, pricing, and any proprietary information disclosed by either party.

  • Confidential information shall not be disclosed to third parties without prior written consent, except where required by law or regulatory authority.
  • These obligations survive the termination or expiry of the service agreement for a period of two (2) years.
  • TanmiaSol's handling of personal data is further governed by our Privacy Policy, which complies with Kuwait's DPPR No. 26/2024.

Liability & Warranties

TanmiaSol is committed to delivering high-quality services. However, the following limitations apply:

  • TanmiaSol does not warrant uninterrupted, error-free, or completely secure operation of any delivered software, website, or digital service, particularly where dependent on third-party platforms (e.g., cloud providers, Meta, search engines).
  • TanmiaSol's total liability for any claim arising from a service engagement shall not exceed the total fees paid by the client for the specific service in question during the preceding three (3) months.
  • TanmiaSol is not liable for indirect, consequential, or incidental damages including loss of revenue, data, or business opportunities arising from the use or inability to use our services.
  • Warranty periods for software and web deliverables are defined in individual service agreements. Post-warranty support is available under a separate maintenance plan.

Termination

Either party may terminate a service agreement under the following conditions:

  • Either party may terminate with written notice as stipulated in the service agreement (typically 30 days for ongoing retainer services).
  • TanmiaSol may terminate with immediate effect in the event of non-payment, breach of these Terms, or any conduct that exposes TanmiaSol to legal or reputational risk.
  • Upon termination, the client is liable for payment of all work completed up to the termination date. Non-refundable deposits will not be returned unless otherwise agreed in writing.
  • TanmiaSol will provide reasonable transition assistance to help the client migrate data or hand over deliverables, subject to outstanding balances being settled.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from or in connection with these Terms or any service agreement shall first be attempted to be resolved through good-faith negotiation between both parties.

If a resolution cannot be reached within thirty (30) days of written notification of the dispute, the matter shall be referred to the competent courts of Kuwait City, Kuwait, whose jurisdiction both parties irrevocably accept.
